The Department of the Registrar of Companies and Intellectual Property (DRCIP) reminds that all companies incorporated or registered under the Companies Law, Cap. 113, all European Public Limited Companies (SEs), and all Partnerships (hereinafter referred to as “Organizations”), are required to access the Beneficial Ownership Resister (BOR) system between 1st October 2025 and 31st December 2025, in order to proceed with the confirmation of the details of their Beneficial Owners (BOs) or Senior Management Officials (SMOs) or to apply due diligence (as applicable in each case).

 Failure to complete the confirmation of information in the BOR system by 31st December 2025, regardless of any criminal liability or prosecution of any person, the company or other legal entity will be subject to a fine of one hundred euros (€100) for the first day of non-compliance, and an additional fine of fifty euros (€50) for each subsequent day of continued violation, up to a maximum total fine of five thousand euros (€5,000).

 It is noted that, in cases where the initial registration, change, or any other action in the BOR system regarding the details of the BOs, SMOs, or due diligence of the company and other legal entity falls within the confirmation period, i.e. between 1/10 and 31/12 of the current year, then the initial registration, change, or other action must first be completed, and subsequently the confirmation of the BOs’, SMOs, or due diligence (as applicable in each case) must be carried out by 31/12 of the current year.

 Please note that the confirmation of information must be performed only once during the period 1st October to 31st December of the current year. In the event that a change or any other action occurs after confirmation, no additional confirmation is required.
