Εισαγωγή
Πιο κάτω αναφέρονται οι γενικές πληροφορίες που χρειάζονται
για την ίδρυση και λειτουργία μιας υπεράκτιας εταιρείας.
Όνομα εταιρείας
Οποιοδήποτε όνομα το οποίο δεν έχει καμμιά σχέση με το όνομα
κάποιας υφιστάμενης εταιρείας μπορεί να γίνει αποδεκτό από τον
Έφορο Εταιρειών. Πριν αποφασιστεί το τελικό όνομα το οποίο θα
χρησιμοποιεί η εταιρεία συνίσταται να προταθούν τρεις εναλλακτικές
λύσεις. Αυτό διευκολύνει τον Έφορο Εταιρειών να επιλέξει και
να εγκρίνει το όνομα που θα χρησιμοποιηθεί.
Ιδρυτικό έγγραφο και καταστατικό
Όλες οι Κυπριακές εταιρείες περιορισμένης ευθύνης οφείλουν να
συγγράφουν Ιδρυτικό Έγγραφο και Καταστατικό, τα οποία να καθορίζουν
τις δραστηριότητες και εσωτερική οργάνωση της εταιρείας. Με
βάση τις περιγραφές των δραστηριοτήτων της εταιρείας που δίνονται
μπορούν να συνταχθούν τα πιο πάνω έγγραφα.
Μετοχικό κεφάλαιο
Δεν υπάρχει καμμιά νομική υποχρέωση που να καθορίζει το κατώτατο
ή ανώτατο ποσό του μετοχικού κεφαλαίου μιάς εταιρείας. Σύμφωνα
όμως με τους κανονισμούς της Κεντρικής Τράπεζας, τουλάχιστον
ένα ποσό ίσο με Κ£1.000 πρέπει να εκδοθεί και να καταβληθεί
την μέρα που η εταιρεία αποκτά τη δική της νομική οντότητα.
Αν η εταιρεία επιθυμεί να εισάξει αφορολόγητα είδη, τότε πρέπει
να διατηρεί δικό της γραφείο στην Κύπρο και το εκδοθέν και καταβληθέν
κεφάλαιο της να είναι τουλάχιστον Κ£10.000.
Μέτοχοι
Κάθε εταιρεία οφείλει να έχει ένα εγγεγραμμένο μέτοχο. Εάν επιθυμείται
ανωνυμία, τότε Κυπριακή καταπιστευματοδόχος
(trustee) εταιρεία μπορεί να κρατά τις μετοχές για λογαριασμό
των πραγματικών μετόχων. Η ταυτότητα των πραγματικών μετόχων
δεν γίνεται γνωστή. Οι πιο κάτω πληροφορίες είναι απαραίτητες
για κάθε μέτοχο: πλήρες όνομα, διεύθυνση, εθνικότητα, επάγγελμα,
αριθμός μετοχών και αντίγραφο διαβατηρίου.
Τραπεζικές συστάσεις
Σημειώνεται ότι η Κεντρική Τράπεζα της Κύπρου για να μπορέσει
να διατηρήσει την επιχειρηματική υπόληψη των υπεράκτιων εταιρειών,
απαιτεί τραπεζικές συστάσεις όσον αφορά τους μετόχους υπεράκτιων
εταιρειών, άσχετα αν αυτοί θα είναι δημόσια γνωστοί ή όχι. Τέτοιες
συστάσεις μπορούν να σταλούν από την τράπεζα των μετοχών στην
Κεντρική Τράπεζα της Κύπρου μέσω του γραφείου μας. Το κείμενο
των τραπεζικών συστάσεων μπορεί να είναι ως ακολούθως:

Μετά από παράκληση των Κυριακίδης & Σαββίδης, CPAs, Λεμεσός,
επιβεβαιώνουμε ότι γνωρίζουμε (ονόματα των μετόχων). Κατά την
γνώμη μας πρόκειται για άτομα φερέγγυα και αξιόπιστα στις επαγγελματικές
τους υποχρεώσεις.

Όνομα τράπεζας
Μέλη διοικητικού συμβουλίου
Για το διορισμό κάθε μέλους, οι ακόλουθες πληροφορίες είναι
αναγκαίες: πλήρες όνομα, εθνικότητα, διεύθυνση κατοικίας και
επάγγελμα.
Άτομα από το γραφείο μας μπορούν να προταθούν για να αποτελέσουν
τη σύνθεση των μελών του Διοικητικού Συμβουλίου. Αν η διεύθυνση
και ο έλεγχος του συμβουλίου πρέπει να ασκούνται από την Κύπρο,
τότε συνιστάται όπως η πλειοψηφία του συμβουλίου να είναι Κύπριοι.
Γραμματέας
Η εταιρεία, σύμφωνα με το νόμο, πρέπει να διορίσει ένα Γραμματέα.
Γι’ αυτό το λόγο μια από τις εταιρείες μας που ασκούν
καθήκοντα γραμματέα μπορεί να παρέχει τις υπηρεσίες αυτές.
Εγγεγραμμένη διεύθυνση
Ο νόμος απαιτεί από κάθε εταιρεία να έχει εγγεγραμμένη έδρα
στην Κύπρο, η οποία θα μπορεί να χρησιμοποιηθεί και σαν
εμπορική διεύθυνση της εταιρείας από την οποία θα μπορεί να
διεξάγει τις εργασίες της. Η διεύθυνση του γραφείου μας μπορεί
να χρησιμοποιηθεί για το σκοπό αυτό.
Απαιτούμενη χρονική περίοδος για την καταχώρηση της εταιρείας
Η σύσταση της εταιρείας μπορεί να συμπληρωθεί μέσα σε μια εβδομάδα.
Τραπεζίτες, νόμισμα και υπογράφοντες
Η εταιρεία έχει την δυνατότητα να ανοίγει τραπεζικούς λογαριασμούς
με οποιαδήποτε τράπεζα. Οι λογαριασμοί μπορούν να
λειτουργούν σε οποιοδήποτε από τα κυριότερα νομίσματα, και οποιεσδήποτε
χρηματικές μεταφορές μπορούν να γίνονται χωρίς συναλλαγματικούς
περιορισμούς.
Έξοδα ίδρυσης και λειτουργίας υπεράκτιας εταιρείας
Τα συνολικά έξοδα για την ίδρυση μιας εταιρείας με μετοχικό
κεφάλαιο ύψους Κ£1.000, συμπεριλαμβανομένων των αμοιβών δικηγόρου
και λογιστή, καθώς και άλλων μικροεξόδων όπως χαρτόσημα κλπ.,
κυμαίνονται γύρω στις ΛΚ£1.250.
Τα ετήσια σταθερά έξοδα συνοψίζονται στα ακόλουθα:

Τα άλλα έξοδα όπως λογιστικά, ελεγκτικά και οι καθημερινές εργασίες
μιας υπεράκτιας εταιρείας όπως σύνταξη μισθοδοτικών καταστάσεων,
πληρωμές και εισπράξεις, επανατιμολόγηση και άλλες εμπορικές
υπηρεσίες υπολογίζονται με βάση το χρόνο που χρειάζεται για
να διεκπεραιωθούν αλλά είναι πολύ ευνοϊκές σε σύγκριση με άλλα
υπεράκτια κέντρα. |
